11/18/09Pharmaceutical Product Development BioDuro LLC N/AN/AQ4 09PPD, Inc. (PPDI) announced it has signed an agreement to acquire BioDuro LLC. According to Barclays Capital, biopharmaceutical companies spend $20.2 billion on drug discovery research annually, with $1.6 billion being outsourced today. That number is expected to grow to $5 to $10 billion in the next three to five years. The acquisition is subject to various closing conditions and is expected to close in the fourth quarter of 2009.
11/18/09Semtech Corp Sierra Monolithics, Inc. $180 MlnN/AN/ASEMTECH CORPORATION (SMTC) has entered into a definitive agreement to acquire Sierra Monolithics, Inc for $180 million in cash. The transaction is expected to be accretive to Semtech's GAAP earnings per share within twelve months of the transaction closing and is expected to be immediately accretive to Semtech's Non-GAAP gross margins and Non-GAAP earnings per share. The Transaction expected to be accretive to Fiscal Year 2011 EPS excluding amortized intangibles.
11/17/09Applied Materials SEMITOOL INC $11/ShareN/AN/AApplied Materials, Inc. said it will buy Semitool, Inc. for $11/Share in an all-cash tender offer. Semitool will be operated as a business unit of Applied's Silicon Systems Group. As per deal, approved by the boards of directors of both companies, Applied Materials will pay an aggregate purchase price of about $364 Mln based on the fully diluted capitalization of Semitool. 11/17/09Brush Engineered Materials Inc Academy Corp. $23 MlnN/AJanuary 2010Brush Engineered Materials Inc. said that its wholly-owned subsidiary, Williams Advanced Materials Inc. (WAM), has inked a deal to buy privately held Academy Corp. The acquisition is expected to be consummated in January 2010. The transaction, valued at about $23 Mln, is expected to be financed through internally generated cash and proceeds from the its $240 Mln revolving line of credit. The acquisition is expected to be accretive to earnings in 2010.
11/17/09Arrow Electronics Inc A.E. Petsche Company N/AN/AEnd Of 2009Arrow Electronics, Inc. said it inked a deal to buy A.E. Petsche Company. Terms of the transaction were not disclosed. The acquisition is expected to be accretive to earnings by $.10 to $.12 in 2010. As a result of this transaction, both Arrow and A.E. Petsche will strengthen their product portfolio in the aerospace and defense markets.
11/16/09Goldcorp Inc Canplats Resources Corporation C$238 Mln41%Jan. 2010Goldcorp Inc. said it will buy all outstanding common shares of Canplats Resources Corp. for total consideration of about C$238 Mln based on the fully diluted in-the-money Shares outstanding. As per the deal, each Share will be exchanged for 0.074 of a common share of Goldcorp, and an interest in a new exploration company or "Newco" with a notional value of C$0.18 per Share, representing a combined value of C$3.60 per Share based upon the closing price of the Goldcorp shares on November 13, 2009
11/16/09Thomson Reuters Sabrix, Inc N/AN/ADecember 2009Thomson Reuters (NYSE: TRI) announced that its Tax & Accounting business has signed a definitive agreement to acquire Sabrix, Inc, a leading global provider of transaction tax management software applications and related services. Terms of the transaction are not disclosed. The transaction is expected to close by December 2009.
